|
|
|
Corporate Counsel will:
- Partner with in-house clients to negotiate contracts with licensors, distribution partners, suppliers, and others;
- Lead initiatives to enhance existing standard contract forms, and develop new contract forms and processes as required;
- Assist in the administration, training and support of non-attorney members of various contract teams within the organization;
- Work with other internal members such as product management, product development, pricing, and finance, to support new business initiatives that affect contracts and contract management;
- Demonstrate ability to advise and influence internal partners;
- Oversee preparation of new agreements, amendments to existing agreements and performs the review and legal analysis of all contract terminations, renewals and assignments as well as responses;
- Develop thorough knowledge of all applicable supplier/vendor agreements and regularly communicate with internal and external clients regarding contractual rights and obligations;
- Inform internal and external clients of project statuses, procedural requirements and changes that impact the business relationship;
- Negotiate, or monitor negotiations of team members with license agreements and proactively resolve escalated business and legal issues;
- Coordinate with, and escalate issues to, the Legal Operations team as necessary;
- Ensure process efficiency and accurate and timely deliverables within provided cycle time goals;
- Provide consolidated status reports and cycle time metrics at regularly scheduled intervals; and
- Approximately 5 to 10 percent domestic and international travel may be required.

REQUIREMENTS |

|
|
|
|
- JD from an accredited law school and at least three (3) years good standing in a state bar;
- 3 to 5 years in-house experience in the manufacturing industry; experience in the chemical industry preferred;
- 5 to 10 years experience negotiating a wide range of contracts with vendors and suppliers;
- Knowledge of all facets of commercial contracting, licensing, and commercial law;
- Significant experience in drafting and negotiating international commercial agreements;
- Experience reviewing and revising third-party contracts and agreements and providing legal guidance on contract interpretation;
- Proven experience and ability to drive results working closely with customer/supplier attorneys, customer/supplier contract management/procurement teams, internal clients and subject matter experts, and other members of the global team;
- Ability to understand and ensure contractual compliance with executed contracts, letter agreements, and Master Lease Agreements, including the development of contract summaries and conducting training for various departments regarding legal obligations under such agreements;
- Significant experience with the RFP/RFI and procurement process is required;
- Extensive analytical and negotiation experience and skills; and
- Ability to assess business risk in varying situations and make associated recommendations to minimize overall risk to the company.
