|
|
This position is responsible for providing legal advice to business managers regarding the Corporation’s legal rights and obligations under a variety of laws and regulations affecting the Corporation and with respect to the Corporation’s policies, and practices, particularly with respect to the Corporation’s procurement program, process and transactions. The position is responsible for drafting, negotiating, interpreting and assisting with dispute resolutions of commercial contracts and interpreting the law as it affects Corporation's policies and practices. The successful applicant will work closely with the Managing Deputy General Counsel – Corporate Affairs on all matters within the purview of the department and for an indeterminate period of time will serve as a liaison to the company's Procurement Department which is located in Philadelphia.

REQUIREMENTS |

|
|
- JD from an accredited law school and good standing in a state bar;
- A minimum of five (5) years of experience in structuring and negotiating complex commercial transactions, with substantive knowledge primarily in the acquisition and procurement of materials and services, possessing a familiarity with the Federal Acquisitions Regulations (FAR) or with a similar state acquisition or procurement system or program;
- Ability to skillfully negotiate contract terms and conditions in major procurements;
- A superior working knowledge and understanding of the appropriate use of various types of contracts, e.g., firm fixed price, cost reimbursement, fixed price incentive fee, cost plus fixed fee, time and materials;
- Excellent contract drafting and negotiation skills;
- Ability to provide executives with substantive legal advice on a broad range of matters in a concise and clear manner;
- Ability to identify and resolve legal and policy issues independently;
- Capacity to develop effective client relationships;
- Capacity to manage and work effectively with outside counsel and experience doing so;
- Ability to handle confidential information and material with the highest degree of discretion and professional responsibility;
- Ability to supervise staff and allocate resources where needed
- Demonstration of sound business judgment;
- Ability to handle complex legal issues with a minimum of supervision;
- Transferable skills or experience in other practice areas, including commercial real estate transactions, drafting of leases, license agreements, agreements of sale and associated conveyance documents, pipe and wire agreements and funding agreements with public entities.
